General Terms and Conditions of Sale are concluded between:
On the one hand, the company SND, holder of the domain name www.studion.online, a simplified joint-stock company with a capital of 2000 euros registered with the RCS of Paris under the number 749983276 – SIRET– 74998327600025 Intra-Community Identification Number / VAT Identification FR17 749983276, with its registered office in France, at 36 Boulevard de la Bastille, 75012, Paris, publisher of the website www.studion.online, hereinafter referred to as "STUDION."
On the other hand, any natural or legal person visiting or making a purchase on the website www.studion.online, hereinafter referred to as "the Client."
2- Definitions
The following definitions apply in these general terms and conditions according to the meaning indicated below (whether used in the singular or plural):
"General Terms and Conditions of Sale": refer to this document, i.e., the terms and conditions applicable to the relationship between Studio N and the Client.
"Site": refers to the website accessible at www.studion.online published by Studio N.
"Product": refers to a product offered for sale on the website.
"Order": refers to the Client's purchase order for one or more Product(s) placed using the website.
"Client": refers to a natural or legal person, consumer and/or professional, who uses the website and acquires one or more Product(s) for personal needs through the website, having previously agreed to the General Terms and Conditions of Sale.
"Recipient": refers to the natural person designated by the client to receive the order.
3- Entirety
These conditions express the entirety of the parties' obligations. In this sense, the Client accepts in advance and without reservation all the provisions set out in these general conditions. In case of disagreement with the terms and conditions of the General Terms and Conditions of Sale, the Client must not use the website.
No general or specific condition appearing in the documents sent or handed over by the Client can be integrated into these conditions, as long as these documents are incompatible with these general conditions.
Studio N reserves the right to adapt or modify these General Terms and Conditions of Sale at any time and without notice, with the adaptations or modifications being applicable to all orders placed after them.
In case of modification, the General Terms and Conditions of Sale applicable to the Client's order are those that were online and accepted by the Client on the day of placing the order.
4- Object
These General Terms and Conditions of Sale aim to define:
The contractual relationships between Studio N and the Client.
The conditions applicable to any purchase of products made on the website www.studion.online, whether the Client is of French or foreign nationality, professional or consumer.
Any use of the website and any placement of an order for one or more Product(s) through the website implies the unconditional acceptance of the entirety of the General Terms and Conditions of Sale.
Only individuals who are legally capable of entering into contracts for the products offered for sale on the website can place an order on the website. When placing the order, the Client guarantees that they have the full legal capacity to adhere to the General Terms and Conditions of Sale, place the order, and conclude a sale.
5- Duration
These conditions apply for the entire duration of the products and services offered by the company SND, holder of the domain name www.studion.online.
6- Acceptance and Opposition to the General Terms and Conditions of Sale
6.1. Accessibility of the General Terms and Conditions of Sale
Any internet user can familiarize themselves with the General Terms and Conditions of Sale on the website www.studion.online by clicking on the hyperlink at the bottom of each page of the website. Since the General Terms and Conditions of Sale may be subject to modifications, the applicable conditions are those in force on the website on the date of placing the order.
6.2. Legal capacity of the Client
The Client, under the General Terms and Conditions of Sale, is any legal entity or natural person aged at least 18 years or with the authorization of the authorized person on the date of validating their order. The Client is a consumer or a professional residing in France or abroad. By paying for their order, the Client acknowledges having the full legal capacity to commit to the General Terms and Conditions of Sale.
6.3. Acceptance of the General Terms and Conditions of Sale
The Client acknowledges having read the General Terms and Conditions of Sale and expressly declares to accept them once they have confirmed their order on the website. Regarding orders not placed online on the website (via email, phone, etc.), the Client acknowledges having read and expressly accepts the General Terms and Conditions of Sale once they receive and do not contest their order confirmation email. By accepting the General Terms and Conditions of Sale, the Client unreservedly accepts all the stipulations provided in these conditions, excluding all others. The general terms of sale are valid for the duration necessary for the provision of the subscribed goods and services, until the expiration of their guarantees.
7- Characteristics of products and prices
7.1. Consultation of product and service characteristics
Studio N presents its products and services on its website along with detailed descriptions, allowing the Client to know their essential characteristics before placing the final order. The product photographs presented on the website are as faithful as possible but cannot guarantee a perfect similarity with the offered products, especially regarding colors.
7.2. Product availability and offer validity
Product and service offers as well as prices on the website are valid for the current day. A product that becomes unavailable is indicated with the mention "Temporarily unavailable" or "Available in stores and from our partners" in the case where the products presented on the website may still be available in physical stores of the Studio N brand. It is also specified that simply adding a product to the cart does not validate the order. In other words, the product may become unavailable between the time of adding to the cart and validating the order. In case of unavailability of the product or service after payment confirmation, Studio N undertakes to cancel the order and fully refund the price paid by the Client. In this case, the refund will be made without delay and no later than fourteen (14) days from the payment of the sums paid by the Client.
7.3. Prices
The prices of products and services presented on the website are indicated in euros (€) all taxes included (VAT). They are applicable when the Client validates the Order and do not include the contribution to transport costs, billed additionally and indicated on the "Summary" page of the cart before final order validation. Prices including all taxes are understood with VAT (Value Added Tax) for products delivered within the European Union. Articles subject to French VAT are taxed at the French VAT rate. Any change in the legal rates of French VAT will be reflected in the prices of products and services presented on the website on the date specified by the referring application decree.
Studio N may organize various promotional operations, including price reduction announcements in the context of private sales, for example. Price reductions are established in relation to reference prices, generally corresponding to prices offered to the general public outside the considered reduction period, i.e., to customers who do not have a customer account with Studio N and therefore do not receive a personalized invitation to participate in the promotional operation.
Studio N reserves the right to modify its prices at any time. The products will be invoiced based on the rates in effect at the time of validation of the order. The Client acknowledges and accepts that the prices communicated during the presentation of the product and service offerings on the website may be subject to typographical errors or omissions, which the Client acknowledges and accepts.
The prices communicated by Studio N on its website may also be subject to variations in the event of the occurrence of an error, technical incident, or hacking leading to a misrepresentation of the prices communicated on the website. The Client acknowledges and accepts that Studio N will inform them of the existence of a typographical error or omission, or any other error that may affect the validity of the contract, as soon as possible after its occurrence.
The Client may then confirm the order at the corrected and exact price or cancel it. If the Client decides to cancel the order, Studio N undertakes to reimburse the Client for the sums paid for the canceled order within fourteen (14) days from the confirmation of the cancellation.
8- Order
The Client places an order for a product through the website. The order can only be registered on the website if the Client has clearly identified themselves with their username and password, which are strictly personal. The Client must also provide the required information concerning the delivery, including the title, full name, and, if necessary, any necessary precision.
The Client may also place their order by phone by contacting the Studio N customer service. The order will then be made directly with a Studio N advisor, who will register the order information.
The Client must provide an accurate and complete delivery address (street number, street name, building, staircase, access code, name, etc.) to allow proper delivery of the order. The Client must also provide a valid phone number on which they can be reached by the carrier.
If the information provided by the Client is incomplete or incorrect and leads to a delay in delivery or the impossibility of delivering the ordered products, the Client will bear any additional costs incurred for returning the product to Studio N and re-shipping.
To confirm the order, the Client must choose the payment method. The order is definitively registered after the Client accepts the General Terms and Conditions of Sale and clicks on the "Validate" button. The order is considered firm and final by the Client.
The order is the subject of an email confirmation summarizing all the elements of the order (products ordered, prices, and amounts billed, delivery address, etc.).
9- Payment
The Client can pay their order online using the payment methods offered on the website. The Client guarantees Studio N that they have the necessary authorizations to use the chosen payment method when validating the order.
Payment of the full price must be made at the time of ordering, and the order will only be considered firm and final after confirmation of payment.
Studio N uses secure payment methods. Payment information is transmitted in encrypted form to the banking partners of Studio N using the SSL (Secure Socket Layer) protocol, without Studio N or any third party having access to it.
10- Delivery
10.1. Delivery zone
Products are delivered to the delivery address indicated by the Client during the ordering process. Deliveries are made in France, Europe, and internationally.
10.2. Delivery times
Delivery times vary depending on the destination and the chosen delivery method. The usual delivery times are indicated on the website at the time of placing the order.
10.3. Delivery method
Products are delivered by external carriers. The Client is informed by email of the shipment of their order, including the tracking number allowing them to track the delivery of their package.
10.4. Delivery costs
Delivery costs are indicated on the website and are calculated based on the delivery method chosen by the Client and the delivery address.
10.5. Delivery issues
Upon receipt of the products ordered, the Client must check the conformity of the products received. Any anomaly concerning the delivery (damage, missing product, damaged package, broken products, etc.) must be imperatively indicated in writing on the delivery slip presented by the carrier and confirmed by the Client within three (3) days following receipt.
If the product is damaged or non-compliant, the Client must refuse the package and indicate "Refused because opened or damaged" on the delivery slip. The Client must also inform Studio N of the refusal by contacting customer service by email at sav@studion.online, specifying the order number.
In case of damage or non-compliance with the order, the Client may request the return of the product and the refund of the price, or a replacement of the product at the expense of Studio N, according to the terms provided in Article 12 "Right of withdrawal and return."
11- Transfer of ownership and transfer of risks
The transfer of ownership of the products to the Client takes place after full payment of the price by the latter, regardless of the delivery date of the products.
The transfer of risks takes place upon delivery of the products to the address indicated by the Client during the ordering process.
12- Right of withdrawal and return
12.1. Right of withdrawal
In accordance with the legal provisions in force, the Client has a period of 14 days from the receipt of the products to exercise their right of withdrawal without having to justify any reason or pay any penalty. If the 14-day period expires on a Saturday, Sunday, or a public holiday or non-working day, it is extended until the next working day.
The Client must notify Studio N of their decision to withdraw by means of an unambiguous declaration (e.g., letter sent by post or email) expressing their willingness to withdraw. The Client can use the withdrawal form available on the website, but its use is not mandatory.
12.2. Return conditions
The Client must return the product(s) without undue delay and, in any case, no later than 14 days from the date of communication of their decision to withdraw. This period is deemed to be respected if the Client returns the product(s) before the expiration of the 14-day period. The Client must return the products to Studio N at the following address: Studio N - 36 Boulevard de la Bastille, 75012 Paris, France.
The Client will bear the direct costs of returning the product(s). The Client is responsible for the risks of transport for the return of the product(s). The Client is informed that they may not return products that have been opened, used, damaged, or soiled. The product(s) must be returned in their original packaging.
12.3. Refund conditions
Upon receipt of the returned product(s), Studio N will refund the Client for the price of the product(s) as well as the standard delivery costs initially paid by the Client when placing the order. The refund will be made using the same payment method as the one used by the Client for the initial transaction, unless the Client expressly agrees to a different payment method.
Studio N may defer the refund until the products are recovered or until the Client provides proof of shipment of the products, whichever comes first.
In the event of depreciation of the product(s) resulting from manipulations other than those necessary to establish the nature, characteristics, and proper functioning of the product(s), Studio N reserves the right to claim compensation from the Client, the amount of which will be determined on a case-by-case basis.
12.4. Exclusions from the right of withdrawal
The right of withdrawal does not apply to contracts for the supply of goods made to the Client's specifications or clearly personalized, or which, due to their nature, cannot be returned or are likely to deteriorate or expire rapidly.
12.4- Refund
In case of withdrawal, Studio N will refund all payments received, excluding the return fees without undue delay and no later than 14 days from the day Studio N was informed of the withdrawal decision (the refund may be deferred until Studio N has received the relevant goods or until the Customer has provided proof of shipment of the goods, with the date of the first of these events being considered). The same means of payment as used in the order will be used unless the Customer expressly agrees to a different method. This refund will not incur any fees for the Customers.
12.5- Withholding
Customers exercising their right of withdrawal may be liable for the depreciation of the relevant goods resulting from handling other than that necessary to establish the nature, characteristics, and proper functioning of the goods. Finally, exceptionally, upon justification and prior notice, Studio N reserves the right to charge the Customer a proportionate indemnity for the management fees necessary to process the abusive or bad-faith exercise of the right of withdrawal (returned product not corresponding to the purchased product...) after giving the Customer notice to provide, within eight (8) days, their observations on the alleged grievance, and in the event that the latter does not provide a satisfactory response.
13- Cancellation
Beyond this withdrawal period, if you wish to cancel your order, you must contact www.studion.online. If your order has been shipped, we will ask you to return the products following the instructions provided by email.
14- Guarantees
14.1. Transport-related Guarantee
Assuming the risks associated with transport, Studio N undertakes to deliver the products ordered by the Customer in sealed, sturdy packaging suitable for the contents and transport requirements. Any product damaged or lost during transport will be replaced. The transport-related guarantee applies only if the Customer or their recipient has signed the delivery slip or transport receipt presented by the carrier, on which they have taken care to make precise handwritten reservations, dated and signed. By signing the delivery slip or transport receipt without making any reservations, the Customer acknowledges that their package was not damaged during transport. In the event of a dispute, the original packaging must be kept until the dispute is resolved. Studio N advises the Customer or their recipient to inform customer service by email at shop@studion.online within a maximum of 72 hours from the delivery; after this period, no claims will be considered.
14.2. Legal Conformity Guarantee
In accordance with articles L217-4 and following of the Consumer Code, Studio N undertakes to deliver a product conforming to the order validated by the Customer and is responsible for conformity defects existing at the time of delivery. Studio N recommends that the Customer who wishes to exercise their warranty right inform Customer Service as soon as they become aware of it by email at shop@studion.online. This claim must be motivated and accompanied by evidence of the damage suffered (photos, etc.). In the event of a conformity defect, the Customer may request, excluding any other compensation or damages, either the replacement of the product or the refund of the product including transport costs.
The legal conformity guarantee applies only to the essential characteristics of the products. The product photos presented on the Site are as faithful as possible but cannot guarantee perfect similarity with the offered products, especially regarding colors.
14.3. Legal Warranty for Hidden Defects
In accordance with articles 1641 and following of the Civil Code, the Customer also benefits from the legal warranty for hidden defects on products sold on the Site www.studion.online. The implementation of the legal conformity guarantee does not preclude the action for hidden defects. Three (3) conditions must be met for the Customer to benefit from this guarantee:
The defect or flaw must be hidden;
The defect or flaw existed before the purchase, even if it manifested itself later;
The defect is inherent in the thing, making it unsuitable for its use, or reducing this use so much that the buyer would not have acquired it.
Finally, to benefit from the warranty, the Customer must act as soon as possible, within a maximum of two (2) years from the day the defect or flaw was discovered. If the three (3) conditions are met, the Customer may request, excluding any other compensation or damages, either the replacement of the product or the refund of the product including transport costs.
14.4. Implementation of Guarantees
Studio N undertakes to refund or exchange defective, damaged, or non-compliant products with the customer's order.
14.5. Customer Complaint
The implementation of guarantees must be the subject of a request made by email or phone to Customer Service at eshop@studion.online.
The complaint must be motivated and accompanied by evidence of the damage suffered (photos, etc.). The Customer must also indicate whether they want the product replaced or refunded. Note: claims or disputes will always be received with careful consideration, good faith being presumed in the person who takes the trouble to expose the dispute.
14.5.1. Acknowledgment of Receipt of the Complaint
Upon receipt of the complaint filed by the customer, Studio N undertakes to send the Customer an acknowledgment of receipt by email indicating the consideration of their complaint.
14.5.2. Compensation to the Customer / Replacement of the Product
In the event of a replacement resulting from a Customer complaint implementing one of their guarantees, unless the parties agree otherwise, the product(s) will be shipped without delay, and customer service will contact the Customer or their recipient no later than 2 working days after the notification of acceptance of responsibility by Studio N.
Refund of the product resulting from a Customer complaint implementing one of their guarantees: A refund without delay and no later than fourteen (14) working days following the date of "notification of acceptance of responsibility" will be made. The refund includes: the price of the product(s) subject to the complaint, the transport costs related to the product(s) based on the invoiced rate, and the return costs incurred by the Customer on the production of supporting documents (invoice, etc.).
15- Intellectual Property
Studio N owns and/or holds protected and registered trademarks with the INPI, as well as domain names also registered and protected. All these elements cannot be used in any way without their agreement (which also means that links to other sites are strictly prohibited).
Furthermore, as part of its activity, Studio N is also required to distribute and/or represent and/or reproduce brands owned or held by its suppliers. All elements related to these brands as they appear on the Site or in Studio N's communications are also protected and therefore cannot be copied without authorization.
In accordance with the provisions of the Intellectual Property Code, only private use is authorized, subject to different or more restrictive provisions of the Intellectual Property Code.
Any infringement of these elements, whether or not protected by intellectual and/or industrial property law, will be immediately pursued (including criminally) and sanctioned.
16- Applicable Law
The General Terms of Sale are subject to French law. In the event of a dispute, the Customer may make their complaints to the customer service of Studio N by email at shop@studion.online to seek an amicable solution. In the absence of an amicable agreement between the Parties, the dispute will be submitted to the French courts, solely competent in the matter.
